About the Role:
We have an exciting opportunity to support our Legal team as a Lead Counsel, Corporate Governance & Compliance based in Shelton, CT. The Lead Counsel, Corporate Governance & Compliance will oversee and manage all aspects of corporate governance related to the company's domestic and international entities. This role ensures compliance with applicable laws and regulations, maintains corporate records, and supports complex transactions. The ideal candidate will possess experience in entity management, corporate governance, and legal compliance, with the ability to operate independently in a fast-paced environment. Strong interpersonal skills are essential, as this role involves close collaboration with cross-functional and international teams, including executives and directors.

Responsibilities include but are not limited to:
- Entity Governance: Ensure that all domestic and international affiliates/subsidiaries comply with local laws and regulations. Manage the formation, maintenance, and dissolution of legal entities, including overseeing director and officer changes.
- Corporate Record Maintenance: Maintain and update corporate records, including minute books, resolutions, and consents for all subsidiaries.
- Legal Compliance: Interpret and ensure compliance with U.S. and non-U.S. laws and regulations related to entity governance and management.
- Entity Management Systems: Maintain the company's entity management system, ensuring accurate records of entity names, stockholders, directors, and officers. Serve as the primary liaison with system vendors.
- Policy Development: Develop, implement, and monitor corporate policies and procedures related to entity management and corporate governance.
- Training and Guidance: Provide training and guidance to internal stakeholders on corporate governance matters and ensure adherence to corporate policies.
- Cross-Functional Collaboration: Work closely with departments such as Finance, Tax, Treasury, and Compliance to support intercompany agreements, audits, and other corporate initiatives.
- Transactional Support: Assist with mergers, acquisitions, and other corporate transactions, including due diligence and integration of new entities.
- Leadership: Oversight of Paralegal Support.
Qualifications:
- JD Required
- Active membership in good standing with (State) Bar Association.
- 2 - 6 years job specific experience
- 5+ years' experience in Corporate Governance, Entity Management preferred.
- Strong understanding of corporate law and governance practices.
- Excellent organizational and project management skills.
- Exceptional attention to detail and accuracy.
- Strong interpersonal and communication skills, with the ability to interact effectively with all levels of the organization.
- Proficiency in using entity management systems and other legal software tools (e.g. Diligent).
- Ability to work independently and manage multiple priorities in a fast-paced environment.
- High ethical standards and professionalism.
- Demonstrated ability to handle confidential information with discretion.
